Article 1 - Scope of applicability
These General Terms and Conditions of Sale (hereinafter referred to as “GTC”) apply, without restriction or reservation, to all sales concluded by the Seller with non-professional buyers (“Customers or the Customer”), wishing to acquire the products offered for sale (“Products”) by the Seller on the site https://www.sonicwarpmodular.com.
The Products offered for sale on the site are as follows:
Passive Multiple, 4 channel mixer, Flip Scale Shift, Classic VCA
The main characteristics of the Products and in particular the specifications, illustrations and indications of dimensions or capacity of the Products, are presented on the site https://www.sonicwarpmodular.com which the Customer is required to read before ordering.
The choice and purchase of a Product are the sole responsibility of the Customer.
Product offers are subject to availability, as specified when the order is placed.
These GTCs are accessible at any time on the site https://www.sonicwarpmodular.com and will prevail over any other document.
The Customer declares to have read these GTCs and to have accepted them by ticking the box provided for this purpose before implementing the online ordering procedure on the site https://www.sonicwarpmodular.com.
Unless proven otherwise, the data recorded in the Seller’s computer system constitutes proof of all transactions concluded with the Customer.

In the event of an order to a country other than mainland France, the Customer is the importer of the Product(s) concerned.
Article 2 - Price
The Products are supplied at the current prices appearing on the site https://www.sonicwarpmodular.com, when the order is registered by the Seller.
Prices are expressed in Euros, excluding taxes. The Seller being subject to the VAT exemption regime, the prices excluding tax (HT) indicated for the different Products correspond to the prices including all taxes (TTC) which will be requested from you during payment, excluding shipping costs.
The prices take into account any reductions that may be granted by the Seller on the site https://www.sonicwarpmodular.com.
These prices are firm and not subject to revision during their period of validity, but the Seller reserves the right, outside the period of validity, to modify the prices at any time.
Prices do not include processing, shipping, transport and delivery costs, which are charged in addition, under the conditions indicated on the site and calculated prior to placing the order.
The payment requested from the Customer corresponds to the total amount of the purchase, including these fees.
An invoice is drawn up by the Seller and given to the Customer upon delivery of the Products ordered.
For shipments to countries outside the European Union, possible customs fees, import tax or additional VAT charges may be requested by the postal service responsible for importing the Product.
Failure to pay these fees may result in the Product(s) being returned to the Seller.
The Seller shall not be held liable under any circumstances for non-payment of these fees.
Article 3 - Order
It is up to the Customer to select on the site https://www.sonicwarpmodular.com the Products that he wishes to order, according to the following terms:
The Customer chooses a Product which he places in his basket, a Product which he can delete or modify before confirming his order and accepting these general terms and conditions of sale. He will then enter his contact details or log in to his space and choose the delivery method. After validation of the information, the order will be considered final and will require payment from the Customer according to the terms provided.
Product offers are valid as long as they are visible on the site, within the limits of available stocks.
The sale will only be considered valid after full payment of the price. It is the Customer’s responsibility to check the accuracy of the order and to immediately report any errors.
Any order placed on the site https://www.sonicwarpmodular.com constitutes the formation of a contract concluded remotely between the Customer and the Seller.
The Seller reserves the right to cancel or refuse any order from a Customer with whom there is a dispute relating to the payment of a previous order.
The Customer will be able to follow the progress of his order on the site.
Any cancellation of the order by the Customer after its acceptance by the Seller will only be possible as long as the Product(s) have not been shipped.

Article 4 - Payment terms
The price is paid by secure payment, according to the following terms:
– payment by credit card via Stripe
– payment via PayPal
The price is payable in cash by the Customer, in full on the day the order is placed.
Payment data is exchanged in encrypted mode using the protocol defined by the payment service provider Stripe, which handles banking transactions carried out on the site https://www.sonicwarpmodular.com.

The Seller shall not be required to deliver the Products ordered by the Customer if the latter does not pay the price in full under the conditions indicated above.

Deliveries take place within an indicative period of 48 hours or 2 working days to the address indicated by the Customer when ordering on the site for shipments in mainland France, from 5 to 22 days (indicative periods, excluding customs processing), depending on the offer chosen (Colissimo Eco OM or Colissimo OM), for shipments overseas, and from 3 to 15 days (indicative or guaranteed period depending on the destination, excluding customs processing) for international shipments.
We use La Poste Colissimo for our shipments in France and internationally.

Delivery is constituted by the transfer to the Customer of physical possession or control of the Product. Except in special cases or in the unavailability of one or more Products, the Products ordered will be delivered in a single delivery.
The Seller undertakes to make its best efforts to deliver the products ordered by the Customer within the timeframes specified above.

If the Products ordered have not been delivered within 7 days after the indicative delivery date, for any reason other than force majeure or the actions of the Customer, the sale may be cancelled at the written request of the Customer under the conditions set out in Articles L 216-2, L 216-3 and L241-4 of the Consumer Code.
The sums paid by the Customer will then be returned to him at the latest within fourteen days following the date of termination of the contract, excluding any compensation or withholding.
In the event of a specific request from the Customer concerning the conditions of packaging or transport of the products ordered, duly accepted in writing by the Seller, the related costs will be subject to specific additional invoicing, based on a quote previously accepted in writing by the Customer.
The Customer is required to check the condition of the delivered products. He has a period of 7 days from delivery to make complaints by email or telephone, accompanied by all relevant supporting documents (photos in particular). After this period and in the absence of compliance with these formalities, the Products will be deemed to be compliant with any apparent defect and no claim may be validly accepted by the Seller.
The Seller will refund or replace as soon as possible and at its own expense, the Products delivered whose lack of conformity or apparent or hidden defects have been duly proven by the Customer, under the conditions provided for in Articles L 217-4 et seq. of the Consumer Code and those provided for in these General Terms and Conditions.
The transfer of risks of loss and deterioration relating thereto will only take place when the Customer takes physical possession of the Products. The Products therefore travel at the Seller’s risk and peril except when the Customer has chosen the carrier himself. As such, the risks are transferred at the time the goods are handed over to the carrier.
Article 6 - Tranfer of ownership
The transfer of ownership of the Products from the Seller to the Customer will only take place after full payment of the price by the latter, regardless of the date of delivery of said Products.
Article 7 - Right of withdrawal
According to the terms of article L221-18 of the Consumer Code:
The Customer has a period of fourteen days to exercise his right of withdrawal from a distance sales contract for goods. The period runs from receipt of the goods by the Customer.
The right of withdrawal can be exercised using the form available here: withdrawal form as well as via our online form: https://www.sonicwarpmodular.com/withdrawal-form or any other unambiguous declaration expressing the desire to withdraw and in particular by post addressed to the Seller or by email, to the postal or email address indicated in Article 1 of the GTCs.
Returns must be made in their original condition and complete (packaging, accessories, instructions, etc.) allowing them to be resold as new, accompanied by the purchase invoice.
Damaged, soiled or incomplete Products will not be accepted.
Return costs remain the responsibility of the Customer.
The exchange (subject to availability) or refund will be made within 14 days of receipt by the Seller of the Products returned by the Customer under the conditions set out in this article.
Article 8 - Seller's liability - Warrantys
The Products supplied by the Seller benefit from:
– the legal warranty of conformity, for defective, damaged Products or those not corresponding to the order.
– the legal warranty against hidden defects arising from a material, design or manufacturing defect affecting the Products delivered and making them unfit for use.
Provisions relating to legal warrantys:
Article L217-1 to L217-17 of the Consumer Code.
The Seller is required to deliver goods that comply with the contract.
The Seller is liable for any lack of conformity existing at the time of delivery of the goods, i.e. at the time when the Customer takes physical possession of the goods, which appear within a period of two years from this date.
Any lack of conformity which appears within twenty-four months of delivery of the goods shall, unless proven otherwise, be presumed to have existed at the time of delivery, unless this presumption is incompatible with the nature of the goods or the defect claimed.
The property complies with the contract if it meets the following criteria in particular:
– It corresponds to the description, type, quantity and quality, in particular with regard to functionality, compatibility, interoperability, or any other characteristic provided for in the contract;
– It is suitable for any special use sought by the consumer, brought to the attention of the seller at the latest at the time of conclusion of the contract and which the latter has accepted;
– It is delivered with all accessories and installation instructions, to be provided in accordance with the contract.
In addition to the contract compliance criteria, the property is compliant if it meets the following criteria:
– It is suitable for the use normally expected of a good of the same type, taking into account, where appropriate, any provisions of European Union and national law and all technical standards or, in the absence of such technical standards, specific codes of conduct applicable to the sector concerned;
– It has the qualities that the seller presented to the consumer in the form of a sample or model, before the conclusion of the contract;
– It corresponds to the quantity, quality and other characteristics, including durability, functionality, compatibility and safety, that the consumer can legitimately expect for goods of the same type, having regard to the nature of the goods as well as to public statements made by the seller, by any person upstream in the chain of transactions, or by a person acting on their behalf, including in advertising or on labeling.
In the event of a lack of conformity, the consumer has the right to have the goods brought into conformity by repair or replacement or, failing that, to a reduction in the price or termination of the contract.
The consumer requests that the seller bring the goods into conformity, choosing between repair and replacement. To this end, the consumer makes the goods available to the seller.
The goods shall be brought into conformity within a reasonable period of time which must not exceed thirty days following the consumer’s request and without major inconvenience to the consumer, taking into account the nature of the goods and the use sought by the consumer.
The repair or replacement of the non-conforming good includes, where applicable, the removal and recovery of this good and the installation of the repaired good or the replacement good by the seller.
The compliance of the goods takes place at no cost to the consumer.
Any item repaired under the legal warranty of conformity benefits from a six-month extension of this warranty.
A full or partial refund of the item must be offered if it is not possible to repair or replace the item.
The seller reimburses these sums using the same means of payment as that used by the consumer when concluding the contract, unless expressly agreed by the latter and in any event without additional costs.
The Seller shall not be held liable in the following cases:
– non-compliance with the legislation of the country in which the Products are delivered, which it is the Customer’s responsibility to check;
– in the event of misuse, negligence or lack of maintenance on the part of the Customer, accident or force majeure.
In summary: You have a legal warranty of 2 years, i.e. 24 months from the date of receipt of your Product, covering any lack of conformity (your module does not work or no longer works as it should). Returns for repair or replacement will be at the Seller’s expense (we will send you a return slip). Your Product(s) will be replaced or repaired free of charge within a maximum of 30 days.
If no replacement or repair is possible, we will offer you a full or partial refund (depending on the condition of your Product). This refund will be made to the payment method used during purchase, unless you agree otherwise.
For any return concerning a Product under warranty, please contact us using the contact details provided in Article 1 of the GTCs.
Articles 1641 to 1648 of the Civil Code.
The seller is bound by the guarantee for hidden defects in the item sold which make it unfit for the use for which it is intended, or which reduce this use so much that the buyer would not have acquired it, or would have paid a lower price for it, if he had known of them.
The buyer has the choice of returning the item and having the price refunded, or keeping the item and having part of the price refunded.
The action resulting from latent defects must be brought by the purchaser within two years of the discovery of the defect.

Article 10 - Intellectual property
The content of the site https://www.sonicwarpmodular.com is the property of the Seller and its partners and is protected by French and international laws relating to intellectual property.
Any total or partial reproduction of this content is strictly prohibited and may constitute an infringement of copyright.
Article 11 - Applicable law - Language
These GTCs and the operations resulting from them are governed by and subject to French law.
These GTCs are written in English. They are a translation of the text of the CGV written in French. Only the French text will be binding in the event of a dispute.

Article 12 - Disputes
For any complaints, please contact customer service by email, telephone or at the Seller’s postal address indicated in Article 1 of these General Terms and Conditions.
The Client is informed that he may in any event resort to conventional mediation, through existing sectoral mediation bodies or to any other alternative method of dispute resolution (conciliation, for example) in the event of a dispute.
In accordance with Article L. 612-1 of the French Consumer Code, the consumer, subject to Article L.612.2 of the French Consumer Code, has the right to submit a request for amicable resolution through mediation within one year of submitting a written complaint to the professional.
MILLET MATTHIEU EI has designated, by membership registered under number 16277/VM/2504, SAS Médiation Solution as its consumer mediation entity.
To contact the mediator, the consumer must formulate their request:

Regardless of the means of referral used, the request must contain:
– The applicant’s postal, telephone and electronic contact details,
– The name, address, and registration number with Sas Médiation Solution of the professional concerned,
– A brief statement of the facts,
– Copy of the prior complaint,
– All documents allowing the processing of the request (purchase order, invoice, proof of payment, etc.)
The customer is also informed that he can also use the Online Dispute Resolution (ODR) platform: https://ec.europa.eu/consumers/odr/main.
All disputes between purchase and sale operators concluded in application of these General Terms and Conditions and which have not been the subject of an amicable settlement between the seller or by mediation, will be submitted to the competent courts under the conditions of common law.
